1. About FundFair Capital

FundFair Capital LLC ("FundFair Capital," "we," "us," or "our") is a registered business financing broker. We are not a lender. We connect business owners with third-party funding sources, including but not limited to merchant cash advance (MCA) providers, alternative lenders, and ISO programs. Any funding you receive is provided by third-party funders, not FundFair Capital.

FundFair Capital LLC is a Wyoming limited liability company with a registered business address at 1000 Brickell Ave, Suite 715, Miami, FL 33131.

2. Eligibility

By using our services, you represent and warrant that:

• You are at least 18 years of age
• You are a legal owner or authorized representative of the business on whose behalf you are applying
• You have the legal authority to enter into agreements on behalf of said business
• All information you provide is accurate, complete, and not misleading
• Your business is legally registered and operating in the United States

3. Our Services

FundFair Capital provides the following services:

• Evaluation of your business's potential eligibility for merchant cash advances and alternative business financing
• Submission of your application and supporting documents to third-party funders on your behalf
• Communication and facilitation between you and funding partners
• Ongoing support throughout the funding process

We do not guarantee approval, funding amounts, terms, or rates. All final decisions are made solely by third-party funders. FundFair Capital earns compensation (commission/ISO fee) from funders upon successful funding — there is no cost to you for our brokerage services.

4. Your Consent and Authorization

By submitting an application, you expressly authorize FundFair Capital to:

• Review, evaluate, and process your application and financial documents
• Share your application, personal information, and financial documents with third-party funding partners for the purpose of securing financing
• Contact you via phone, email, and text message regarding your application and related offers
• Pull business credit reports and background information as needed for underwriting purposes

You may withdraw this authorization at any time by contacting us at info@fundfaircapital.com, though withdrawal may prevent us from completing your application.

5. Accuracy of Information

You agree to provide only truthful, accurate, and complete information in connection with your application. Providing false, misleading, or fraudulent information is a violation of these Terms and may constitute fraud under applicable federal and state laws. FundFair Capital reserves the right to immediately terminate services and report suspected fraud to appropriate authorities.

6. No Guarantee of Funding

Estimated funding amounts, factor rates, and repayment terms displayed on our website are for illustrative purposes only and are not binding offers.

7. Fees and Compensation

FundFair Capital does not charge application fees, upfront fees, or any fees directly to applicants. Our compensation is received from funding partners in the form of commission upon successful funding. This compensation structure does not affect the terms or rates of any funding offer you receive.

8. Electronic Signatures

By typing your name or providing an electronic signature on any application, document, or agreement through our platform, you agree that such electronic signature constitutes a legally binding signature under the Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and applicable state laws. You agree to receive documents electronically and acknowledge that electronic records satisfy any requirement that such records be in writing.

9. Intellectual Property

All content on our website, including text, graphics, logos, and design elements, is the property of FundFair Capital LLC and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written consent.

10. Disclaimer of Warranties

OUR WEBSITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FUNDFAIR CAPITAL LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF OUR SERVICES OR ANY FUNDING OBTAINED THROUGH OUR REFERRAL, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability to you for any claims arising from these Terms or our services shall not exceed the total fees we received in connection with your specific transaction.

12. Indemnification

You agree to indemnify, defend, and hold harmless FundFair Capital LLC and its members, managers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of our services, your violation of these Terms, or your provision of false or fraudulent information.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions. Any dispute arising from these Terms or our services shall first be subject to good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, with proceedings conducted in Miami, Florida.

You waive any right to participate in a class action lawsuit or class-wide arbitration.

14. Third-Party Funders

FundFair Capital acts solely as a broker/intermediary. We are not responsible for the actions, terms, practices, or agreements of any third-party funder. Any funding agreement you enter into is solely between you and the funder. You are encouraged to review all funding agreements carefully and seek independent legal or financial advice before accepting any offer.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website with an updated effective date. Your continued use of our services after changes are posted constitutes your acceptance of the modified Terms.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and FundFair Capital with respect to your use of our services and supersede all prior agreements, representations, and understandings.
